DigitalOcean Managed Agents Public Preview Terms

The below terms (the “Public Preview Terms”) apply to your participation in the Public Preview of, and your use of, a preliminary, limited-availability release of DigitalOcean Managed Agents, comprised of DigitalOcean Harness Runtime and Action Gateway offerings, which are released together as a single Public Preview (collectively, the “Preview Offering”; each of DigitalOcean Harness Runtime and the Action Gateway (the “Gateway”), a “Component”). The Public Preview Terms supplement the terms of the DigitalOcean Terms of Service Agreement , including Service Terms , or such other written agreement between you and DigitalOcean governing your use of our Services (our “Agreement”). The Preview Offering is a Public Preview Service (and a Beta Service) for purposes of the Agreement, and terms not defined in these Public Preview Terms have such meaning otherwise defined in the Agreement. If there is a conflict between these Public Preview Terms and the Agreement, these Public Preview Terms will control solely with respect to the conflict relating to your use of the Preview Offering.

Subprocessor Disclosure: DigitalOcean uses subprocessors to support delivery of the Preview Offering. A current list of DigitalOcean Service subprocessors is available here.

Your participation in the Public Preview and use of the Preview Offering is voluntary. If you do not accept these Public Preview Terms, then you may not participate in the Preview Offering.

IMPORTANT — INSIGHTS ENABLED BY DEFAULT; INSIGHTS ADDENDUM SURVIVES. As part of your participation in this Public Preview, DigitalOcean has enabled the DigitalOcean Insights feature for your account by default, subject to the additional terms set forth in Addendum A (DigitalOcean Insights). Harness Runtime and the Action Gateway are planned to reach General Availability. Effective on General Availability of Harness Runtime and the Action Gateway, these Public Preview Terms will expire and terminate with respect to Harness Runtime and the Action Gateway, and your use of those services will thereafter be governed solely by the Agreement (including the Terms of Service Agreement and applicable Service Terms), except that Addendum A (DigitalOcean Insights) will not expire on that date and will continue in effect, governing your use of Insights until Insights itself reaches Public Preview or General Availability or is discontinued, as described in Addendum A.

DEFINITIONS

Capitalized terms not defined herein shall have the same meaning as in the Agreements above. Key definitions:

a. Connected-Account Credentials: OAuth tokens, API keys, and similar credentials you authorize us to use to connect to a Third-Party Service.

b. Catalog Tool: a connector or tool DigitalOcean makes available in its catalog, which may authenticate using a DigitalOcean-registered OAuth application.

c. Customer-Provided Tool: a connector, tool, or MCP server you bring and connect using your own OAuth application, API client, API key, or endpoint (also referred to as “bring your own key,” or BYOK).

d. Third-Party Service: defined in Section 7 of the Terms of Service-Agreement and includes any model provider, tool, connector, or MCP server that processes data on your instruction through the Services.

1. The Preview Offering

The Preview Offering comprises two Components: Harness Runtime and the Action Gateway, released together as Managed Agents. Managed Agents is a cloud platform that handles the runtime for AI agents so developers can focus on building them.

1.1 The Harness Runtime Component:

a. The Architecture: Powered by a harness server, a zero-instrumentation agent runtime that wraps any AI agent without modifying it. Developers bring the agent and the harness server provides everything needed to run it in the cloud: session lifecycle management, MicroVM orchestration, and pause and restart.

b. Turn Management & Event Loops: Stateful orchestration of multi-turn agent sessions via an async event loop, tracking step transitions and emitting structured events at each stage.

c. Sandbox Execution: Isolated MicroVM environments for secure, hardware-separated agent task execution, with support for custom runtime images and on-demand dynamic execution engines.

1.2 Action Gateway. The Gateway is a managed service that connects an AI agent to tools and third-party services through a single interface, applying Customer-configured policies, brokering credentials, executing tool calls (including reads and state-changing writes), and returning results and records to Customer. The Gateway may include first-party tools (such as web search, web fetch (including Exa Lab who supports delivery of the Service), and code execution), DigitalOcean-managed tools, and Customer-configured or third-party tools and MCP servers. Tools reach the Gateway through two paths: (i) Catalog Tools: connectors and tools DigitalOcean makes available in its catalog, which may authenticate using a DigitalOcean-registered OAuth application or DigitalOcean-managed credential; and (ii) Customer-Provided Tools: connectors, tools, or MCP servers that Customer brings and connects using Customer’s own OAuth application, API client, API key, other credential, or endpoint. Each is a Third-Party Service under the Agreement, and Customer’s use of either path is subject to the applicable provider’s terms and to Section 5.

1.3 Access & Limits

a. Provisioning: During the Public Preview, the Preview Offering is accessible via programmatic API endpoints, CLI or web console.

b. Usage Caps: System throttles, rate limits, concurrent agent run quotas, and payload sizing limits will be strictly applied and are subject to change at any time without notice to protect cluster stability.

c. Third-Party Coding Agents: M.A.R.S. supports prepackaged templates including Codex, Claude Code, and OpenCode to run within coding sandboxes.

2. Public Preview Nature of the Service.

You acknowledge and agree that the Preview Offering is an early-stage, pre-release “Public Preview” service.

2.1. Experimental Status: The Preview Offering, its underlying API structures, endpoints, doctl CLI support, SDK components, and the Harness specification schema definitions are experimental and subject to radical modification, breaking changes, or deprecation at any time without prior warning. The Preview Offering is a limited-availability release designed for testing and feedback. It is not a General Availability (GA) product. DigitalOcean is granting Customer access to a “Public Preview” to obtain feedback on features.

2.2. No SLAs: The Preview Offering is provided entirely without service level agreements (SLAs), uptime commitments, or performance guarantees. Existing DigitalOcean SLAs do not apply.

2.3. No Support Obligations: DigitalOcean is under no obligation to provide technical support, bug fixes, or maintenance for the Preview Offering. To the extent DigitalOcean does provide support, it is offered on a reasonable-effort basis during standard business hours (8:00 AM – 5:00 PM PT, Monday through Friday, excluding holidays).

2.4. Data Durability: DigitalOcean provides no guarantees regarding data durability. Data, records, execution states, and traces may be lost, or services reset for maintenance, without prior notice. You are responsible for maintaining appropriate copies or backups of your data outside the Preview Offering as necessary to meet your business needs.

3. Fees and Billing

3.1. Fees; Published Pricing: The Preview Offering is a paid service. DigitalOcean meters your usage of the Preview Offering and bills you in accordance with DigitalOcean’s then-current published pricing. Fees are billed to, and payable through, your DigitalOcean account in accordance with the billing provisions of the Agreement. DigitalOcean may update its published pricing from time to time; updated pricing will be posted on the pricing page and applies prospectively to usage occurring after the update.

3.2. Interim Billing for Certain Gateway Tools: Notwithstanding the foregoing, certain Gateway tools may, for a limited period, be billed under another DigitalOcean service’s usage categories. DigitalOcean will notify Customer of the change and migrate such usage to Preview Offering billing, and will honor any published no-surprise credit commitment for usage billed under the interim category.

3.3. New or Changed Charges; General Availability: Where any component of the Preview Offering is offered at no charge, DigitalOcean will provide notice before it begins charging for that component. DigitalOcean’s pricing and packaging for the Preview Offering may change, including upon transition to General Availability, and DigitalOcean will communicate any such changes as required by the Agreement.

3.4. Retries and provider charges. Certain Gateway features may reattempt a tool call to improve completion, as described in Section 5.9. Where the underlying provider charges per attempt, each attempt is metered and may appear on your bill; where the provider does not, a reattempted logical call is billed as a single unit. Each attempt also consumes the applicable provider and account rate and concurrency limits.

3.5. Prepaid balance; platform wallet; behavior at a zero balance.

a. Prepaid balance required. Unless DigitalOcean designates Customer’s account as exempt (for example, an invoiced account under separate credit terms), Customer must maintain a positive prepaid balance in its single, account-level DigitalOcean platform wallet (the “Wallet”) in order to use the Preview Offering. The Wallet is a unified balance for the DigitalOcean platform and is not divided by product. As Customer uses the Preview Offering, applicable charges including model and inference (LLM) calls, tool calls, and compute, are drawn down from the Wallet. Customer may optionally enable automatic reload by setting a minimum balance and a reload amount, in which case DigitalOcean will charge Customer’s designated payment method to restore the Wallet balance when it falls below the minimum.

b. Behavior at a zero balance. When the Wallet balance reaches zero, DigitalOcean will (i) block new requests to the Preview Offering, including model and inference (LLM) calls, tool calls, and compute; and (ii) pause running MicroVMs and take a snapshot. No further compute charges accrue for paused MicroVMs while the account is blocked, and Customer may restore access by adding funds to the Wallet.

c. Retained storage continues to accrue charges. Reaching a zero balance does not delete Customer’s data. Snapshots and other retained storage are temporarily preserved so that Customer can add funds and resume; such retained data continues to accrue storage charges for as long as it is retained, even while the account is blocked. DigitalOcean will notify Customer (for example, in the console) that paused agents and retained data continue to incur storage charges until deleted, and will provide a means for Customer to delete snapshots and retained storage while the account is blocked. Deleting the retained storage is Customer’s means of stopping further charges, and Customer remains responsible for storage charges accrued until such deletion.

d. A zero balance is not non-payment. A zero Wallet balance gates new usage only. It does not place Customer’s account into a past-due, dunning, or collections status, and does not by itself suspend non-AI products or result in the destruction of Customer’s resources. DigitalOcean’s dunning and related suspension or termination processes described in the Agreement apply only where Customer fails to pay amounts due.

4. Acceptable Use, Prohibited Content, and Privacy

4.1. Prohibited Data: You agree not to submit, feed, or process any highly sensitive data, including but not limited to Protected Health Information (PHI) under HIPAA or financial data subject to PCI-DSS, within the Preview Offering.

4.2. Acceptable Use; Web Egress: Certain Gateway tools transmit requests to third-party sites and systems on Customer’s behalf. Customer will not use, and will not permit its End Users to use, the Gateway to (a) access any system without authorization; (b) conduct scraping, data collection, or automated access in violation of a target site’s terms or applicable law; © circumvent access controls, rate limits, or bot-detection measures; or (d) send unlawful, infringing, or malicious traffic. This Section is in addition to the Acceptable Use Policy, which applies to the Preview Offering.

5. Action Gateway Service-Specific Terms

5.1. Customer responsibility for tools and agent actions. Customer is responsible for the tools it enables, the policies it configures, and all actions the Gateway performs at the direction of Customer’s agents or End Users, including state-changing actions taken in Third-Party Services. Customer will ensure it has all rights and authorizations necessary for the Gateway to access and act within each connected service on behalf of Customer and its End Users, and that such access and actions comply with the terms of the relevant Third-Party Service. Actions initiated by an agent are treated as Customer’s actions for purposes of the Agreement. This allocation of responsibility applies equally, and Customer bears responsibility for connectors and their use, regardless of whether a connector is a Catalog Tool or a Customer-Provided Tool. Where Customer connects a Third-Party Service using a Customer-Provided Tool (including Customer’s own OAuth application, API client, or API key), Customer is the party in privity with the applicable provider, is solely responsible for registering and maintaining that application or credential and for complying with the provider’s developer, API, data-use, and acceptable-use terms, and DigitalOcean acts solely at Customer’s direction in dispatching calls to it. DigitalOcean’s inclusion of a connector or tool in its catalog is provided for convenience only, is not an endorsement, certification, or warranty of the connector, tool, or its provider, and does not make DigitalOcean responsible for it or shift to DigitalOcean any responsibility for Customer’s authorization, Customer’s compliance with the provider’s terms, or the actions Customer or its agents take through it.

5.2. Credentials and connected accounts. To enable the Gateway to act in a Third-Party Service, Customer (or its End User) may authorize DigitalOcean to store and use credentials, including OAuth tokens and API keys (“Connected-Account Credentials”). DigitalOcean will use Connected-Account Credentials solely to provide the Gateway and will use commercially reasonable efforts to maintain their confidentiality and security. Customer is responsible for the scope of access it grants and for revoking credentials that should no longer be used. Where Customer uses a Customer-Provided Tool, Customer is solely responsible for the creation, security, scope, validity, rotation, and revocation of its own OAuth application, API keys, and other credentials, and for its registration and standing with the provider.

5.3. Third-party services and tools. Connected services, Customer-configured tools, and third-party MCP servers are Third-Party Services under the Agreement. DigitalOcean governs the Gateway’s dispatch of, policy enforcement on, and records of a tool call, but does not control, and is not responsible for, the internal logic, outputs, availability, or compliance posture of any Third-Party Service, Customer-configured tool, or Customer-operated MCP server. Customer’s use of a Third-Party Service through the Gateway is subject to that provider’s terms, regardless of whether the connector is a Catalog Tool or a Customer-Provided Tool, and Customer agrees to comply, and to cause its End Users to comply, with each such provider’s terms, developer and API policies, and data-use and acceptable-use requirements. As between DigitalOcean and Customer, Customer bears all liability arising out of or relating to any connector, Third-Party Service, Customer-configured tool, or MCP server and the actions taken through them.

5.4. Monitoring, suspension, and safety. DigitalOcean may, using automated and manual processes, monitor Gateway traffic and metadata to detect, prevent, or investigate violations of law, the Agreement, or security risks, and to maintain the integrity and safety of the Services, subject to its confidentiality and security obligations. Where DigitalOcean reasonably substantiates a violation, it may take proportionate action, including suspending the affected traffic or tools, removing content, or reporting to appropriate authorities as required by law. Where practicable and not inconsistent with law or security, DigitalOcean will limit any suspension to the affected traffic and provide notice.

5.5. Human oversight. The Gateway may support write or other high-impact actions. Customer is responsible for configuring and maintaining appropriate approvals, controls, and human oversight for agent actions, and for evaluating outputs before relying on them. DigitalOcean shall not be liable for any actions taken by Customer’s agents, and the Customer’s failure to configure available controls shall not shift liability to DigitalOcean.

5.6. No model training on Customer data. DigitalOcean will not use Customer inputs, tool arguments, tool results, or Services Content processed through the Gateway to train, fine-tune, or improve any generalized AI or machine-learning model, and will process such data only to provide the Services or as required by law.

5.7. Outputs; accuracy; generative-AI terms. Tool-selection and other AI features of the Gateway are subject to the generative-AI provisions of the Service Terms (Section 1.3.6) and, where applicable, the AI Model Terms of the Agreement. Outputs and tool results may be inaccurate or incomplete and should be evaluated by Customer before use. The Gateway is not intended for certain uses described in the Service Terms at Section 1.3.6.

5.8. Tool indemnity. To the maximum extent permitted by law, Customer will defend, indemnify, and hold harmless DigitalOcean and its affiliates from and against any third-party claim, and any resulting losses, liabilities, damages, penalties, and costs (including reasonable attorneys’ fees), arising out of or relating to (i) Customer’s or its End Users’ selection, configuration, connection, or use of any Catalog Tool or Customer-Provided Tool; (ii) any action the Gateway performs at the direction of Customer’s agents or End Users in any Third-Party Service; (iii) Customer’s breach of any Third-Party Service’s terms or of Section 4 (Acceptable Use, Prohibited Content, and Privacy); or (iv) any lack of authorization, rights, or consents for a connection or action. This Section 5.8 survives termination and is in addition to any indemnification obligations in the Agreement.

5.9. Reliable execution; retries; no completion guarantee. The Gateway may use techniques such as retries, timeouts, provider-enforced idempotency keys, and partial-failure handling to improve the likelihood that an action completes (“Reliable Execution”). The Gateway reattempts an operation only where it determines the reattempt is safe—for example, repeating a read, or reusing a provider-enforced idempotency key for the identical request and account. Where safety cannot be determined, including for many state-changing actions and where a result is lost or ambiguous, the Gateway does not reattempt and returns the available result. Reliable Execution does not change Customer’s request, approvals, permissions, or deadline. DigitalOcean does not guarantee that any action will complete, that reattempts will prevent all duplicate or partial side effects, or that the state of a Third-Party Service matches the result returned. Where an outcome is ambiguous or a partial failure occurs, Customer is responsible for verifying the state of the affected Third-Party Service before retrying or relying on the outcome, and for configuring provider idempotency where available. Reliable Execution is subject to Section 2.4 (Data Durability) and Section 3 (Fees and Billing).

5.10. Tool output modification and compression. To reduce token usage and tailor results to Customer’s scenario, the Gateway may modify, summarize, compress, or otherwise transform the output of a tool or Third-Party Service before returning it (“Modified Output”). Modified Output may omit, condense, or reformat information and may not be a complete or verbatim copy of the underlying response. Customer is responsible for evaluating Modified Output before relying on it and, where completeness or fidelity is required, for obtaining the underlying tool’s unmodified output. Section 5.7 (Outputs; accuracy) applies to Modified Output.

5.11. Tool search and selection; search-improvement signals. The Gateway may provide a tool-search capability that narrows the tool catalog to a small set of candidate tools in response to a Customer-supplied use-case query. Tool search returns candidate tools only; the selection of which tool to call remains with Customer and Customer’s model or agent, and DigitalOcean does not guarantee that any particular tool, or a tool suitable for Customer’s use case, will be included in the candidate set. Candidate results and rankings may reflect ranking factors configured by DigitalOcean, which may include preferences for DigitalOcean first-party tools or tool-quality signals. Customer’s own registered tools are searchable only within Customer’s tenant. Use-case queries are short task descriptions, and Customer should not include conversation content, personal data, or other sensitive information in them.

To improve tool-search ranking, DigitalOcean collects operational signals reflecting which candidate tools were offered and whether an invocation succeeded (“Search Signals”). Search Signals consist of identifiers and status flags only and do not include conversation text, tool arguments, or tool results. Search Signals are stored on a per-tenant basis, retained for the period stated in the Documentation, and deleted on tenant offboarding. Per-tenant search improvement is enabled by default and may be disabled by Customer, in which case tool search uses default behavior. DigitalOcean may use privacy-gated, aggregated Search Signals to improve tool search generally, subject to Customer’s ability to opt out. For clarity, DigitalOcean’s use of Search Signals to improve tool search is distinct from, and does not modify, Section 5.6 (no use of Customer inputs, tool arguments, tool results, or Services Content to train, fine-tune, or improve any generalized AI or machine-learning model).

5.12. Tool catalog; availability, changes, and provider-specific terms. The tools and providers available through the catalog are offered as available and may change. DigitalOcean may add, modify, suspend, or remove Catalog Tools, providers, or provider access at any time. Availability of a Catalog Tool is not a guarantee that it will remain available or function as described. Certain providers require Customer or its End Users to accept provider-specific terms or authorizations before use, and Customer is responsible for reviewing and complying with those terms. Where a Catalog Tool authenticates through a DigitalOcean-registered application, Customer authorizes DigitalOcean to connect to the provider on Customer’s behalf to perform the actions Customer directs, and Customer remains responsible for maintaining its own account, authorization, and standing with that provider. Sections 5.1 and 5.3 continue to apply to all Catalog Tools and providers.

5.13. Customer-registered tools and tool definitions. Customer may register its own tools, connectors, or MCP servers, including their tool definitions, schemas, descriptions, and endpoints (each, a “Customer-Registered Tool” and, together with its associated metadata, a “Tool Definition”). Customer represents and warrants that it has all rights necessary to register and use each Customer-Registered Tool and its Tool Definition, and that the Tool Definition is accurate and does not contain unlawful, infringing, or malicious content or instructions. Customer is solely responsible for the Tool Definition, the endpoint it identifies, and the tool’s behavior, outputs, and side effects. To provide the Service, DigitalOcean may store, index, display, transmit to a model for tool search or selection, and execute the Tool Definition as directed by Customer or its agents. A Customer-Registered Tool is a Customer-Provided Tool and a Third-Party Service, and Sections 5.1, 5.3, and 5.8 apply to it. Customer-Registered Tools and their Tool Definitions are visible only within Customer’s tenant.

5.14. Spend controls and budgets. The Gateway or the DigitalOcean platform may provide spend controls, budgets, quotas, or usage alerts to help Customer monitor and manage usage. These controls are provided (if any) for convenience and operate on a commercially reasonable basis using usage data that may be delayed or estimated. DigitalOcean does not guarantee that a budget, quota, alert, or spend control will prevent usage, stop the incurrence of fees, or cap actual charges, and Customer remains responsible for all fees incurred for its usage of the Preview Offering, including usage that exceeds a configured budget or that is incurred before a control takes effect.

6. Intellectual Property & Feedback

6.1. Ownership: DigitalOcean retains all right, title, and interest in and to the Harness Runtime, the Gateway, and their respective specifications, APIs, software, and any underlying technology.

6.2. Feedback License: You are encouraged to provide bug reports, enhancement ideas, and execution feedback (“Feedback”). You hereby grant DigitalOcean an irrevocable, perpetual, sublicensable, royalty-free license to use, implement, and commercialize such Feedback for any purpose without restriction or compensation to you.

6.3. Confidentiality of Results: Notwithstanding any broader definition in the Agreement, “Beta Service Confidential Information” specifically includes any feedback, benchmarks, or test results provided by Customer or generated by the Preview Offering.

7. Term and Termination

7.1. Termination at Will: Either party may terminate your access to the Preview Offering at any time, for any reason or no reason, immediately upon written notice (email to suffice).

7.2. Data Deletion: Upon termination of the Public Preview or deletion of a preview instance, all data, execution states, Connected-Account Credentials, and history stored within the Preview Offering may be permanently and irreversibly destroyed. You are solely responsible for exporting or archiving any necessary configurations or data prior to termination.

7.3. Transition on Release; General Availability. Harness Runtime and the Action Gateway are planned to reach General Availability . Effective upon the General Availability of Harness Runtime and the Action Gateway, these Public Preview Terms will automatically expire and terminate with respect to Harness Runtime and the Action Gateway, and your continued access to and use of Harness Runtime and the Action Gateway will thereafter be governed solely by the Agreement (including the Terms of Service Agreement and applicable Service Terms) and any applicable General Availability terms, which will be communicated in advance to you. If DigitalOcean releases a Public Preview or Generally Available version of either Component earlier or later than the scheduled date, these Public Preview Terms will expire and terminate with respect to that Component upon that release, and DigitalOcean will communicate any updated date in advance. Notwithstanding the foregoing and any other provision of these Public Preview Terms, Addendum A (DigitalOcean Insights) will not expire or terminate upon the General Availability of Harness Runtime or the Action Gateway, and will survive and continue in full force and effect in accordance with its terms until Insights itself transitions to Public Preview or General Availability or is discontinued (see Addendum A, Section A.6 (Survival)). The expiration of these Public Preview Terms with respect to Harness Runtime and the Action Gateway does not affect Addendum A or your rights and obligations with respect to Insights.

8. Limitation of Liability & Disclaimers

AS A PUBLIC PREVIEW SERVICE, THE PREVIEW OFFERING IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITALOCEAN DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE PREVIEW OFFERING. THE PREVIEW OFFERING IS A BETA SERVICE UNDER THE AGREEMENT, AND DIGITALOCEAN’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THE PREVIEW OFFERING IS LIMITED AS SET FORTH IN THE AGREEMENT FOR BETA SERVICES (SEE TERMS OF SERVICE AGREEMENT SECTION 8.6), WHICH LIMITS DIGITALOCEAN’S AGGREGATE LIABILITY FOR ANY BETA SERVICE TO THE AMOUNT YOU ACTUALLY PAID DIGITALOCEAN FOR THE APPLICABLE BETA SERVICE THAT GAVE RISE TO THE CLAIM DURING THE MONTH PRECEDING THE CLAIM. FOR CLARITY, THE LIMITATIONS OF LIABILITY IN THE AGREEMENT APPLY IN THE AGGREGATE ACROSS THESE PUBLIC PREVIEW TERMS (INCLUDING ADDENDUM A) AND ARE NOT CUMULATIVE WITH, OR MULTIPLIED BY, THEM. THIS LIMITATION APPLIES TO DIGITALOCEAN’S LIABILITY TO CUSTOMER AND DOES NOT LIMIT CUSTOMER’S OBLIGATIONS, INCLUDING CUSTOMER’S INDEMNIFICATION OBLIGATIONS IN SECTION 5.8.


Addendum A — DigitalOcean Insights (Enabled by Default; Additional Terms; Survives General Availability of Harness Runtime and the Action Gateway)

This Addendum A is part of, and is incorporated into, the DigitalOcean Managed Agents Public Preview Terms (the “Public Preview Terms”). Capitalized terms not defined in this Addendum A have the meanings given in the Public Preview Terms or the Agreement. In the event of a conflict between this Addendum A and the body of the Public Preview Terms with respect to the Insights Preview Offering, this Addendum A controls. As part of your participation in the Managed Agents Public Preview, DigitalOcean has enabled the DigitalOcean Insights feature (“Insights” or the “Insights Preview Offering”) for your account by default. Insights is a separate DigitalOcean Beta Service and Public Preview Service, and your access to and use of Insights is subject to the additional terms set forth in this Addendum A (the “Insights Additional Terms”), which are in addition to, and independent of, the terms governing the Preview Offering (Harness Runtime and the Action Gateway). You may disable Insights at any time by contacting DigitalOcean Customer Support. Disabling Insights does not affect your participation in the Preview Offering, and the expiration, termination, or transition of the Preview Offering (including upon the General Availability of Managed Agents ) does not by itself disable Insights or terminate these Insights Additional Terms. This Addendum A is to be read together with the Agreement. **

DigitalOcean Public Preview Terms: Insights

The below terms (the “Preview Terms”) apply to your participation in the Public Preview of, and your use of, DigitalOcean Insights (the “Preview Offering” or “Insights”). The Preview Terms supplement the DigitalOcean Terms of Service Agreement and Service Terms, or such other written agreement between you and DigitalOcean governing your use of our Services (our “Agreement”). The Preview Offering is a Beta Service for purposes of the Agreement, and terms not defined in these Preview Terms have such meaning otherwise defined in the Agreement. If there is a conflict between these Preview Terms and the Agreement, these Preview Terms will control solely with respect to the conflict relating to your use of the Preview Offering.

Your participation in the Public Preview and use of the Preview Offering is voluntary. If you do not accept these Preview Terms, then you may not participate in the Public Preview.

1. Purpose and Scope

The Preview Offering is a preliminary, limited-availability release of a DigitalOcean Service. It is an observability feature that provides insights through metrics, logs, improved alerting, dashboarding, and multi-resource observability across supported DigitalOcean resources. Access during the Public Preview is limited to eligible accounts, to the features, resource types, and regions that DigitalOcean designates, and to the capacity DigitalOcean makes available from time to time. Your use of the Preview Offering is also subject to the Acceptable Use Policy.

2. Public Preview Details

2.1 As-Is; As-Available. The Preview Offering is provided “AS-IS” and “AS-AVAILABLE.” It is not intended or recommended for production workloads or for any monitoring, alerting, or observability function that requires guaranteed uptime, continuity, accuracy, or availability. You acknowledge the experimental nature of the Preview Offering and that DigitalOcean may modify, suspend, or discontinue any feature of the Preview Offering at any time without notice. You should not rely on the Preview Offering as your sole or authoritative source of monitoring, alerting, or telemetry for any workload you rely on commercially, and you should maintain your existing observability tooling.

2.2 No Service Level Agreements; No Support Commitments. No Technical Support commitments and no Service Level Agreements (SLAs) apply to the Preview Offering. There are no uptime, performance, or availability guarantees, and existing DigitalOcean SLAs do not apply. No service credits are available for the Preview Offering, including for any unavailability, interruption, delayed or missed alert, data loss, or failure of telemetry to be collected, displayed, or retained. To the extent DigitalOcean does provide support, it is offered only on a reasonable-effort basis during standard business hours.

2.3 Data Durability. DigitalOcean provides no guarantees regarding the durability, completeness, or retention of telemetry data. Telemetry data, dashboards, alert configurations, and other Preview Offering resources may be lost, reset, or deleted for maintenance or other reasons without notice. You should not store the sole or authoritative copy of any data in the Preview Offering.

2.4 Agent Installation and Enablement. For certain resources, and only where you enable the Preview Offering, you authorize DigitalOcean to install, update, and configure required agents on your resources on your behalf to enable advanced telemetry. Once enabled, telemetry streams automatically from supported resources until you disable the Preview Offering.

2.5 Data Residency and Localization. The Preview Offering does not offer regional data storage or data localization at this time, and telemetry may be processed and stored outside the region in which your monitored resources are deployed, including in the United States.

2.6 License Restrictions. The Preview Offering, including its software, interfaces, and underlying technology, is licensed to you only as a right to access and use it as delivered through the DigitalOcean platform during the Public Preview; you receive no other license to it. You will not, and will not permit any third party to: (a) create derivative works of the Preview Offering or its underlying technology; (b) use the Preview Offering to build or assist in building a competing product or service; © resell, sublicense, or provide third parties with access to the Preview Offering, other than users you authorize to access your account; (d) remove, obscure, or alter any copyright, trademark, or other proprietary notice included in any non-user-facing component of the Preview Offering; or (e) use the Preview Offering to train, fine-tune, evaluate, or benchmark any machine-learning model.

2.7 Preview Pricing. The Preview Offering is provided at no additional charge during the Public Preview. The DigitalOcean resources you monitor, and other DigitalOcean Services used in connection with the Preview Offering, are charged separately in accordance with the Agreement. DigitalOcean may introduce charges for the Preview Offering, or change the terms on which it is offered, going forward at any time. DigitalOcean will notify you of the rate that will apply before any billing commences under new pricing or for a future version of the Preview Offering.

3. Data Usage

3.1 Telemetry and Input Data. You are responsible for the content and data you send to, generate through, or store in the Preview Offering, and for compliance with the Agreement and applicable law with respect to that data. Because logs and other telemetry may capture whatever your applications emit, you should configure your workloads so that you do not send special category personal data, government identification numbers, payment card data, health records, or credentials to the Preview Offering. You acknowledge that you will deploy only non-production workloads with the Preview Offering, and maintain independent monitoring for any workload you rely on. Given the pre-production nature of the Preview Offering, you should maintain your own copies of any data you value.

3.2 Technical Metadata. By using the Preview Offering, you authorize DigitalOcean to use technical metadata (e.g., utilization, latency, error rates, query and dashboard usage, and usage frequency) to operate, evaluate, and improve our infrastructure, the Preview Offering, and our Services.

3.3 Feedback. You may, but are not required to, provide suggestions, comments, or other feedback regarding the Preview Offering (“Feedback”). You grant DigitalOcean, and its suppliers and licensors, a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and exploit Feedback for any purpose without restriction or obligation to you. Feedback does not grant any license to your content or data.

3.4 Confidentiality. You will not publish or disclose any benchmarks or test results relating to the performance of the Preview Offering, whether provided by you or generated by the Preview Offering, without DigitalOcean’s prior written consent.

4. Conclusion of Preview Offering

4.1 Conclusion. DigitalOcean may terminate or conclude this Preview Offering at any time without advance notice. We make no promise that the Preview Offering will continue to General Availability, or that any General Availability version will be unchanged from the Preview Offering. If we release a Generally Available version of the Preview Offering, these Preview Terms will automatically terminate when that version is released, and your continued use of the Preview Offering or its successor will be governed by the Agreement, including any new General Availability terms, which will be communicated to you in advance.

4.2 Data Purge. DigitalOcean reserves the right, in its sole discretion, to purge data associated with the Preview Offering, and to terminate Preview Offering dashboards, alerts, and configurations, at the conclusion of the Public Preview or at any time, except as otherwise specified in the documentation or migration guidance. We will endeavor but are not obligated to provide prior notice and to keep the Preview Offering available for a reasonable period to allow you to wind down your use.

5. Suspension and Termination

You may disable the Preview Offering at any time through the DigitalOcean control panel or by contacting Customer Support. DigitalOcean may suspend or terminate your access to the Preview Offering at any time in our sole discretion, with or without notice, if: (a) we choose to discontinue the Preview Offering or transition it to General Availability; or (b) we believe your use violates these Preview Terms, the Agreement, or the Acceptable Use Policy. Suspension or termination of your access to the Preview Offering does not affect the underlying DigitalOcean resources you monitor, which remain subject to the Agreement.

6. Limitation of Liability

The Preview Offering is a Beta Service and is provided “AS IS” and “AS AVAILABLE”. The warranty disclaimers, exclusions of damages, and limitation of liability applicable to Beta Services under the Agreement apply to the Preview Offering and are incorporated by reference. Nothing in these Preview Terms expands DigitalOcean’s liability beyond, or limits any disclaimer, exclusion, or cap set forth in the Agreement.
